Terms & Conditions
1. Payment
Payments will be made via QuickBooks, Stripe, or direct deposits. Our typical payment schedule is Net 15, meaning payment is due within 15 days of the invoice being sent (excluding upfront invoices). Any deviations from this schedule will need to be discussed and mutually agreed upon.
The initial estimate is based on time, goals, quality, meetings, and timeline. This estimate may increase depending on the Client's requests. We will inform you if additional requests may impact the cost.
2. Cancellation Policy
This contract remains in effect until the work is completed. If the Client wishes to cancel, Partywave Inc. will be compensated for services performed up to the date of cancellation, amounting to at least 50% of the "Project Total Estimate" or more, depending on the work completed. In case of cancellation, all rights to the project revert to Partywave Inc, and all original materials must be returned.
3. Expenses
Partywave Inc is entitled to reimbursement for expenses incurred while providing the services. Expenses must be pre-approved by the Client with proof of payment.
4. Relationship Between the Parties
Partywave Inc operates as an independent contractor. This Agreement does not create any employment, partnership, or agency relationship between the parties.
5. Exclusivity
This Agreement is not exclusive. Both parties may enter into similar agreements with other parties.
6. Dispute Resolution
Any disputes arising from this Agreement will be resolved through negotiation between the parties. This Agreement represents the entire understanding between the parties and can only be modified in writing, signed by both parties.
7. Amendments
Any amendments to this Agreement must be in writing, signed by both parties, and will apply to the Agreement.
8. Additional Hours Beyond Scope
Once the Client approves the final design phase, no further changes can be made without additional fees and a possible rescope of the project.
9. Timeline Reduction
If timeline adjustments are necessary and the launch date is immovable, additional resources may be added, which may incur additional costs.
10. Use of External Contractors
Partywave Inc reserves the right to engage external contractors or subcontractors as needed to fulfill the specific requirements of the project. This decision will be based on the project’s needs and the expertise required to ensure the highest quality of work.
11. Pauses
The Client may pause the project by informing Partywave Inc in writing. A delay of more than 5 business days in feedback or communication will automatically be considered a Pause. If total Pause time exceeds 30 days, Partywave Inc may consider the Agreement terminated, and compensation will be due as described in the cancellation policy.
12. Promotion
Partywave Inc reserves the right to display all aspects of our creative work, including sketches, work-in-progress designs, and the completed project, in our portfolio and other promotional materials.
13. Assumptions
We assume the Client’s team will be available for project check-ins and that collaboration will be fluid. Delays in feedback or missed meetings may affect cost and timing and could result in a scope change. The Client is responsible for all external services and licenses required to complete the project.
14. Accessibility
While we prioritize accessibility, we are not ADA compliance specialists. We recommend involving an ADA specialist to ensure compliance. Partywave Inc. is not liable for any non-compliance issues or related damages post-project completion.
15. Miscellaneous
This Agreement represents the entire understanding of the parties and can only be modified by a signed writing from both parties. Any disputes will be resolved through negotiation.
